A selection of Beam's premium brands.LONDON (CNNMoney) Suntory Holdings, a massive Japanese beverage company, is acquiring American spirits maker Beam for $16 billion, creating one of the largest premium spirits companies in the world.
The all-cash deal values Beam at $83.50 per share, a 25% premium over Friday's closing price.
Shares in Beam shot up in premarket trading Monday after the deal was announced.
Beam is known for its brand-name products, including Jim Beam bourbon, Maker's Mark whiskey and Courvoisier cognac.
The transaction is expected to close in the second quarter of the year, provided it receives all necessary shareholder and regulatory approvals.
Beam's CEO Matt Shattock said he was excited about the deal, noting that the combination of Suntory and Beam would create the third largest global spirits maker.

Shares of spirits company BEAM Inc (BEAM) surged on Monday morning after reports were released that Japan based Suntory Holdings Ltd. has agreed to acquire the company in a $16 billion deal.
Drink company Suntory will acquire all outstanding shares of Beam for $83.50 per share, or approximately $13.6 billion. With the assumption of debt, Suntory said that the deal is worth about $16 billion. This transaction is expected to close in the second quarter of 2014.
The combined company will create the third largest premium spirits company in the world. The company is expected to see annual sales of $4.3 billion.
BEAM shares were up $17.43, or 26.03%, during pre-market trading Monday.

"Alternative beverage" and energy drinks company Monster Beverage (NASDAQ: MNST ) logged some of the steepest losses in the index today, losing 3.6%. There wasn't much material news today for investors to be fearful of, but the same can't be said for the last several months. One perpetual setback for the company is the legal risk it assumes for selling and marketing its controversial energy drinks. In May, for example, the city of San Francisco sued Monster for marketing its caffeine-heavy drinks to kids without concern for potential health risks.�

Concerns about the political uncertainty in Ukraine caused some volatility in the markets Friday afternoon, with the major indexes making several U-turns ahead of the weekend. The Dow Jones industrial average (^DJI), which had been up by as much as 125 points, briefly dropped into loss territory before rebounding to end 49 points higher. The Standard & Poor's 500 index (^GPSC) edged up 5 points, adding to Thursday's record high, but the Nasdaq composite (^IXIC) lost 10 points. February was a great month for investors. All three major averages jumped by about 4 percent. UnitedHealth Group (UNH) led the blue chips, gaining 1½ percent. Other health providers – Aetna (AET), Wellpoint (WLP), Cigna (CI) and Humana (HUM) -- all gained between 1½ and 2 percent. And retail stocks remained active. Target (TGT) added another 3 percent. Best Buy rose 4 percent, and Fred's (FRED), a regional department store chain, jumped 10 percent. But Pier 1 (PIR) fell 5½ percent after lowering its earnings outlook for a second time. That led to a series of brokerage downgrades. Decker Outdoor (DECK) tumbled 12 percent. The maker of footwear brands such as Ugg and Teva issued a weak outlook. And apparel maker Lululemon (LULU) fell 5-percent on negative comments from Credit Suisse. It seems as though there are always some big movers in the drug and biotech sectors – and that was certainly the case today. GW Pharmaceuticals (GWPH) rose 2 percent after the FDA granted orphan status to its drug to treat a rare form of childhood epilepsy. But most of the action was on the downside. Endologix (ELGX) slid 24 percent after forecasting lower revenue growth. Questcor (QCOR) fell 10 percent. It's lost big for three straight days amid allegations of questionable business practices. Shares of Monster Beverage (NASDAQ: MNST ) shed 4.4% Friday, as the American Medical Association prepares to discuss the endorsement of a ban on energy drinks to children. The group of physicians has an understandably large influence on health policy in the United States, and a move to suggest an age requirement for the high-caffeine beverages that are Monster's specialty poses a serious threat to its business.
